These Terms and Conditions govern access to and use of Clientky, including its website, platform, applications, integrations, and related services. By creating an account, subscribing to a plan, or using the service, you accept these Terms and our Privacy Policy.
Please read these Terms carefully before using Clientky. If you use the service on behalf of a company or organization, you represent that you have sufficient authority to accept these Terms on its behalf.
1. Eligibility and authority to contract
To use Clientky, you must be at least 18 years old and have legal capacity to enter into contracts under applicable law.
If you act on behalf of a company, institution, or other organization, you represent that you are authorized to bind that organization to these Terms and that the information you provide will be true, complete, and current.
For purposes of these Terms, Customer means the person or organization that subscribes to or uses Clientky; Authorized User means each employee, contractor, or collaborator enabled by the Customer; End User means the person with whom the Customer communicates through the service; Customer Data means the content, messages, contacts, files, instructions, settings, and other information uploaded, connected, or processed by the Customer.
2. Service description
Clientky is a SaaS platform for omnichannel customer support, commercial and operational automation, conversation management, CRM, artificial intelligence, and integrations with third-party channels and services.
Depending on the subscribed plan and enabled integrations, the service may include features related to WhatsApp Business Platform, Instagram, Messenger, email, contacts, teams, automations, reports, AI assistants, file management, and related tools.
Clientky acts as a technology provider. The customer retains control over its operations, contacts, messages sent or received, enabled integrations, and instructions configured within the platform.
3. Account, credentials, and user responsibility
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials, managing your team permissions, and preventing unauthorized access.
The Customer is responsible for the actions of its Authorized Users, employees, contractors, and anyone accessing the service through its accounts, permissions, tokens, or integrations. Accounts must not be shared between individuals or used outside the scope authorized by the Customer.
You must provide truthful information and keep it updated. You must not create accounts using false information, unauthorized third-party identities, or data that may be misleading.
All activity performed from your account will be deemed to be under your responsibility unless you prove unauthorized use outside your reasonable control and promptly notify Clientky.
You must promptly notify us of any actual or suspected unauthorized use, credential compromise, improper access, token loss, or incident that may affect the security of Clientky, your data, or your integrations.
4. Subscriptions, payments, taxes, and price changes
Clientky may offer free, trial, monthly, annual, or other commercial plans published on the platform or in an applicable proposal. Features, limits, and pricing may vary by plan.
Payments are processed through Whop and Polar, or any payment providers Clientky may designate. Prices are stated and charged in United States dollars (USD), unless another currency is expressly indicated.
By subscribing to a paid plan, you authorize the initial charge and applicable recurring charges. Subscriptions renew automatically at the end of each period unless cancelled in advance under these Terms.
Prices do not include taxes, duties, withholdings, bank fees, card fees, currency conversion charges, or other applicable charges unless expressly stated. You are responsible for taxes and charges applicable to your subscription.
Clientky may modify prices, plans, limits, or commercial conditions with at least 30 days notice for recurring fee increases that apply to the next billing period. Changes arising from taxes, provider fees, regulatory compliance, obvious errors, or third-party modifications may apply with different notice where reasonable or necessary.
Fees, charges, limits, or costs from Meta, WhatsApp Business Platform, messaging channels, payment providers, telecommunications, integrations, or third parties may be independent from the Clientky subscription and subject to each provider's terms.
5. Cancellations and post-cancellation access
You may cancel your subscription from the platform, through the applicable payment provider portal, or by contacting support at support@clientky.app.
Cancellation prevents future renewals but does not create a refund for the already paid period. Unless access is suspended or terminated for breach, you may retain access to paid features until the end of the current period.
After a subscription ends, access to certain features may be limited, downgraded, or disabled. Data retention, export, or deletion will be governed by the Privacy Policy and available platform features.
6. Refund policy
Payments made to Clientky are final and non-refundable. This includes, without limitation, partial periods, unused credits, non-use of the service, plan changes, cancellations after a charge, and automatic renewals already processed.
Clientky will only evaluate adjustments, credits, or refunds when expressly required by applicable law or when there is a billing error confirmed by Clientky or the relevant payment processor.
Requests related to duplicate charges, technical billing errors, or billing inconsistencies must be sent to support@clientky.app with the information required to investigate the case.
7. Acceptable use
You must use Clientky lawfully, responsibly, and in accordance with these Terms, applicable laws, and the policies of integrated services.
You must not use Clientky, directly or indirectly, to:
- send spam, unsolicited messages, illegal bulk campaigns, or communications without required consent;
- conduct phishing, fraud, social engineering, impersonation, scams, or deceptive activities;
- distribute malware, harmful code, malicious links, or instructions to compromise systems;
- publish, transmit, or facilitate illegal, violent, discriminatory, hateful, terrorist, child exploitation, harassing, threatening, or rights-infringing content;
- abuse APIs, automations, scraping, bots, technical limits, reputation systems, or security mechanisms;
- interfere with the availability, integrity, or security of Clientky, its users, providers, or third parties;
- use WhatsApp Business Platform, Meta, Google, or other integrated services in violation of their applicable policies.
8. WhatsApp Business Platform, Meta, and messaging channels
When using WhatsApp Business Platform, Instagram, Messenger, or other Meta channels through Clientky, you are responsible for obtaining the consents, permissions, and legal bases required by applicable law to contact your end users.
You are also responsible for obtaining, maintaining, and correctly configuring the approvals, business accounts, numbers, permissions, credentials, tokens, API keys, webhooks, and technical settings required for interoperability between Clientky and the third-party platforms or applications you choose to connect.
You must comply at all times with Meta and WhatsApp Business Platform messaging, commerce, privacy, and acceptable use policies, including restrictions on templates, opt-in, permitted content, message frequency, and account quality.
Clientky does not pre-approve or control the content you send, receive, automate, or configure. Clientky may suspend or limit integrations if it detects abuse, risk to third parties, policy violations, or provider requirements.
9. Third-party services and charges
Clientky integrates with or may facilitate the administration of third-party services, including WhatsApp Business Platform, Meta Business Agent, Instagram, Messenger, Facebook, Meta services, email services, Google, AI providers, payment providers, cloud infrastructure, analytics, and other systems connected by the Customer.
Some third-party services may generate charges that are independent from the Clientky subscription price and from AI credits or AI consumption charged by Clientky. This includes, without limitation, charges for WhatsApp Business Platform usage, outbound messages, templates, conversations, Meta Business Agent features, messaging services, telecommunications, integrations, APIs, or any other charge defined by Meta, a BSP, or another provider.
The prices, billing models, limits, technical requirements, taxes, commercial conditions, and policies for those services are defined by the applicable provider, not by Clientky, and may change at any time without Clientky's intervention or control.
Unless Clientky expressly states otherwise for a specific service, Clientky does not act as a billing intermediary for charges generated by WhatsApp Business Platform, Meta Business Agent, or other Meta services. Those charges are established and collected by Meta, by the applicable BSP, or by the relevant provider, and are the Customer's exclusive responsibility.
The Customer is responsible for maintaining a valid payment method, such as a card accepted by Meta, associated with its Meta Business Manager, WhatsApp Business account, or applicable account to cover charges for WhatsApp Business Platform, Meta Business Agent, or other Meta services. Failure to maintain a valid payment method or comply with Meta's policies, requirements, or conditions may result in restrictions, suspensions, limitations, or disabling of services by Meta, without Clientky's intervention.
Clientky may display estimates, usage, reports, or reference data about third-party charges, but final billing, final calculation, amounts due, and collection decisions will depend on the information, rules, and systems of the applicable provider.
Clientky does not guarantee the continuous availability of WhatsApp, Facebook, Instagram, Meta Business Agent, Meta Ads, APIs, channels, reviews, permissions, approvals, or other Meta or third-party services. If Meta or another provider modifies its APIs, policies, terms, features, limits, technical requirements, or prices, Clientky may adapt, limit, replace, or discontinue features to maintain compatibility, security, or regulatory compliance.
10. Third-party services and subprocessors
Clientky integrates or may integrate third-party services, including WhatsApp Business Platform, Instagram, Messenger, email services, Google, OpenRouter, Deepgram, Whop, Polar, cloud infrastructure, analytics, and other providers necessary to operate the platform.
Use of those services may be subject to each provider's own terms, policies, technical limits, review decisions, availability, and changes. Clientky is not responsible for interruptions, rejections, restrictions, or modifications decided by third parties.

11. Intellectual property
Clientky, its software, code, brand, logo, design, interface, documentation, content, configuration models, and other platform elements are owned by Clientky or its licensors.
You are granted a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the service during the term of your account or subscription, in accordance with these Terms.
You must not copy, modify, decompile, reverse engineer, resell, sublicense, or commercially exploit the platform outside what is expressly permitted.
12. Customer data
The data, conversations, contacts, files, messages, instructions, settings, and content you upload or manage through Clientky belong to the customer or their respective rights holders.
Clientky processes that data only to provide, maintain, protect, and improve the service, in accordance with the Privacy Policy, the customer's reasonable instructions, and applicable law.
You are responsible for the legality, accuracy, quality, source, consent, and authorization of the data you enter, import, connect, or process through Clientky.
Clientky may generate, use, and retain aggregated, statistical, or de-identified data that does not identify a natural person or disclose the Customer's confidential information, for internal purposes such as analytics, security, quality assurance, service improvement, research, and development of new features.
13. Artificial intelligence
Clientky may include artificial intelligence features to assist with replies, classification, automation, summaries, analysis, content generation, or other operational tasks.
AI-generated outputs may be inaccurate, incomplete, outdated, or unsuitable for a specific case. You must review and validate outputs before using them or sending them to third parties.
AI features do not constitute legal, financial, medical, accounting, professional, or other advice. You retain final responsibility for your decisions, communications, and actions.
14. Availability, maintenance, and security
Clientky seeks to keep the service available and secure, but does not guarantee uninterrupted availability, 100% uptime, total absence of errors, or permanent compatibility with all systems or integrations.
The service may be affected by maintenance, updates, technical incidents, provider changes, API limits, internet failures, force majeure events, or third-party actions.
Clientky may modify, suspend, replace, or discontinue features, integrations, plans, tools, or service components for technical, commercial, legal, security, or provider-change reasons, seeking to provide notice where reasonable.
Clientky applies reasonable security measures, including access controls, monitoring, backups, auditing, and encryption where appropriate. No system is completely immune to risk, so you must also protect your credentials, devices, and internal permissions.
15. Suspension and termination
Clientky may suspend, limit, or terminate your access, in whole or in part, if there is a breach of these Terms, non-payment, abusive use, legal risk, security risk, harm to third parties, a requirement from an integrated provider, or reasonable suspicion of improper activity.
Clientky may, but is not obligated to, remove or restrict content, automations, integrations, or accounts where it reasonably believes they violate these Terms, third-party rights, applicable laws, provider policies, or security and trust standards.
You may stop using Clientky or cancel your subscription under these Terms. Upon termination, your right to use the service ends, and Clientky may retain, delete, or anonymize data in accordance with the Privacy Policy and applicable law.
16. Limitation of liability and indemnity
To the maximum extent permitted by law, Clientky will not be liable for indirect, incidental, special, punitive, or consequential damages, lost profits, data loss, reputational harm, lost business opportunities, or interruptions arising from use of or inability to use the service.
Clientky's total liability for any claim related to the service will not exceed the amount actually paid by you to Clientky during the twelve months preceding the event giving rise to the claim.
You agree to indemnify Clientky against claims, damages, penalties, costs, or expenses arising from your use of the service, your data, your messages, your integrations, your breach of these Terms, or your violation of laws or third-party rights.
17. Changes, governing law, and contact
Clientky may update these Terms to reflect legal, technical, commercial, or service changes. Material changes will be communicated through reasonable means, such as email, platform notice, or publication on the website.
These Terms are governed by the laws of the Argentine Republic, without prejudice to consumer protection or data protection rules that may apply mandatorily.
